1. Who we are

Firedstone Sourcing Ltd (Company No. 12020751) is a property sourcing company registered in England and Wales.

2. Sellers

2.1 Initial offer in principle — we may provide an initial offer in principle based on estimated market value and information you provide.

2.2 Appraisal — if you decide to proceed, we will arrange an appraisal of your property.

2.3 Formal offer — after appraisal, we may make a formal offer subject to contract and survey.

2.4 Survey outcomes — if survey or due diligence reveals issues, our offer may be amended or withdrawn.

2.5 Alternative options — we may offer alternatives. You are under no obligation to accept.

2.6 Legal representation — you will need a property lawyer. You may use your own or one we recommend.

2.7 Identity verification — we will instruct an external agency to verify identity of all registered sellers.

2.8 Exchange and completion — you are under no obligation until contracts are exchanged. Completion date is agreed prior to exchange.

2.9 Vacant possession — property is sold with vacant possession on completion unless agreed otherwise.

2.10 Licence to occupy — in certain situations we may agree a limited licence to occupy after completion.

2.11 Complaints — we are members of The Property Ombudsman. See Complaints page for details.

3. Investors

3.1 Deal information — any deal information is for information only and does not constitute financial, legal, or tax advice. You are responsible for your own due diligence and independent professional advice.

3.2 Fees — minimum deal fee: £5,000. Reservation fee: £1,500. The reservation fee forms part of the total deal fee if you proceed.

3.3 Reservation period — 7 business days from the time cleared funds are received and matched to your payment reference.

3.4 Payment and 48-hour hold

1. Reservation fees paid by bank transfer to bank details we provide.
2. You must use the payment reference we provide.
3. We will hold a deal for up to 48 hours from the time we issue bank details and a payment reference.
4. If cleared funds are not received within 48 hours, we may release the deal.
5. Proof of payment is not accepted. Only cleared funds received into our account are accepted.

3.5 Reference format — format: FSR-#####-####. FSR = Firedstone Reservation. ##### = Deal ID (5 digits). #### = Investor ID (4 digits). Example: FSR-10421-2345.

3.6 Non-refundable and credit — the reservation fee is non-refundable except where required by law. If a reservation cannot proceed due to an issue caused by Firedstone, we will allow the fee to be transferred as a credit towards another deal.

Credit is tied to the same investor account only and cannot be assigned. It is valid for 2 years from the date we confirm transfer in writing. If the next deal has a higher reservation fee, you pay the difference. If lower, remaining credit may apply towards the deal fee subject to minimum. Firedstone issues include withdrawing a deal during the reservation period, accepting a fee when a deal is unavailable, failing to deliver a deal pack, material inaccuracy, failing portal access after cleared funds, failing promised next steps, incorrect payment instructions, or breaching reservation exclusivity.

3.7 When credit does not apply

• You change your mind.
• You do not proceed within the reservation period.
• You fail to provide information needed to proceed.
• You cannot proceed for your own funding or legal reasons.

4. Governing law

These Terms of Business are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
